Shares of Tyco International Ltd (NYSE:TYC) is considered a potential takeover target by Schneider Electric (SU.PA), which said it was thinking about making a bid on the company, although they're in the early stages of the process, saying there is no deal on the horizon at this time.
Tyco would expect to bring a high premium from Schneider because of a possible bidding war from rivals like Honeywell (NYSE:HON), United Technologies Corp (NYSE:UTX) or Siemans, and other probable suitors. The company could attract an initial bid as high as $65 a share.
Measured by market capitalization, Schneider is about twice the size of Tyco, valued at about $46 billion versus Tyco's $23 billion.
Tyco was trading at $48.76, gaining $1.61, or $3.41 percent, as of 12:57 PM EDT. Schneider was trading over the counter (OTC:SBGSY.PK) at $16.90, falling $0.59, or 3.37 percent.

Tyco Electronics (NYSE:TEL) Boosted by ADCT Contribution
Saying they didn't include ADCT in their prior estimates for Tyco Electronics (NYSE:TEL), UBS added them to their latest projections, adjusting them accordingly.
UBS says, "TE reported Revs/EPS of $3.2b/$0.73, including about $0.03 of one-time benefit, vs. consensus at $3.16b/$0.68. ADCT contributed $51m to sales in the quarter with no impact to EPS. For the March qtr, TE forecast Revs/EPS of $3.5b/$0.72 (at the mid-point) vs. UBSe $3.47b/$0.73 and consensus at $3.48b/$0.75. We adjust our ests and now forecast FY11/FY12 Revs/EPS of $14.1b/$3.11 and $15.2b/$3.39, including ADCT. Our previously published results did not include ADCT."
UBS maintains a 'Buy' rating on Tyco Electronics (TEL), which closed Friday at $36.45, gaining $0.43, or 1.19 percent. UBS raised their price target on Tyco from $36 to $42.

Molex (Nasdaq:MOLX), Tyco, (NYSE:TEL), Amphenol (NYSE:APH) Most Exposed to Passive Component World Says Ticonderoga
According to Ticonderoga, which has introduced what they're calling their "Component Barometer," companies in their coverage universe most exposed to the passive component world are Molex (Nasdaq:MOLX), Tyco, (NYSE:TEL) and Amphenol (NYSE:APH).
Ticonderoga says, "Introducing the Component Barometer. Today, we are adding the Component Barometer to our Taiwan tech supply chain tracking universe to provide investors with another tool to monitor the pulse of demand in the technology world. The Component Barometer will track the monthly sales trends at seventeen leading Taiwan-based passive component manufacturers with an annual revenue run of approximately $9.0 billion in December. Hewlett-Packard (NYSE:HPQ), EMC (NYSE:EMC), Amphenol (NYSE:APH), Tyco (NYSE:TEL), QLogic (NASDAQ:QLGC), Jabil Circuit (NYSE:JBL) Among RBC's Top Tech Picks
RBC Capital released its top tech picks for 2011, among them, and across the spectrum, were Hewlett-Packard (NYSE:HPQ), EMC (NYSE:EMC), Amphenol (NYSE:APH), Tyco (NYSE:TEL), QLogic (NASDAQ:QLGC) and Jabil Circuit (NYSE:JBL).
This year's picks were based more on companies offering secular growth potential and not "pent-up demand" temporarily accelerated by a perceived recovery move.
RBC Capital analyst Amit Daryanani said his large cap picks like Hewlett Packard, are preferred because of Hewlett's focus on stable growth in its printer supply and IT businesses.
EMC he likes because he sees them spending strongly in 2011 on its enterprise data storage.
He has an "outperform" rating on both companies.
Hewlett-Packard was trading at $43.40, up $0.66, or 1.52 percent, as of 12:45 PM EST. EMC was trading at $22.86, down 0.25, or 1.06 percent. Tyco Electronics was trading at $35.36, down $0.88, or 2.43 percent. Amphenol was down to 52.49, falling $0.92, or 1.72 percent. QLogic was trading at $16.78, losing $0.46, or 2.67 percent. Jabil Circuit was trading at $20.62, dropping $0.27, or 1.29 percent.

Tyco Electronics (NYSE:TEL) Valuation Better than Sensata Technologies (NYSE:ST) Says Goldman Sachs (NYSE:GS)
Goldman Sachs (NYSE:GS) said like Tyco Electronics (NYSE:TEL) better than Sensata Technologies (NYSE:ST) at this time, citing better valuation.
They raised full year 2011 EPS on Tyco Electronic from $2.96 to $3.05 and full year 2012 from $3.25 to $3.35, saying they see continual strength in automotive for them.
Goldman maintains a "Neutral" rating on Tyco and Sensata.
Tyco closed at $36.24 on Monday, gaining $0.84, or 2.37 percent. Sensata closed at $30.28, up $0.17, or 0.56 percent.
Goldman raised their price target on Tyco from $34 to $38.50.

Danaher (NYSE:DHR) 2001 EPS Guidance Below Consensus
Danaher (NYSE:DHR) revealed at a meeting in New York that its EPS guidance for 2011 would come in lower than consensus.
FBR said, "At its well-attended outlook meeting in New York, as expected, Danaher provided 2011 EPS guidance that came in modestly below consensus at midpoint...We also see the resegmenting of the businesses as a positive, increasing visibility into underlying operating and earnings trends. We continue to like Danaher’s execution on organic growth through share gains and new product innovations. Portfolio mix and solid balance sheet and cash flow add to the shares defensive appeal. We have a constructive bias on the shares but maintain our Market Perform rating for now, as we see greater upside to our price targets in Outperform-rated Actuant (NYSE:ATU), Cooper (NYSE:CBE), SPX (NYSE:SPW), WESCO (NYSE:WCC), Illinois Tool Works (NYSE:ITW), 3M (NYSE:MMM), and Tyco (NYSE:TYC)."

Honeywell's (NYSE:HON) Cash Flow, Strong Balance Sheet, Offer Flexibility
Honeywell International (NYSE:HON) gave its EPS estimate guidance, and it came in at a range of $3.50 to $3.70; in line with expectations says FBR Capital.
"Honeywell’s 2011 EPS guidance of $3.50–$3.70 came mostly in line with our expectations and was broadly consistent with the preliminary framework provided with 3Q earnings a few weeks ago...With regard to the shares, we like Honeywell’s improving late-cycle mix in commercial aero and the company’s solid balance sheet and cash flow provide it with flexibility for acquisitions. However, we see greater upside potential to our price targets in Outperform-rated Atuant (NYSE:ATU), WESCO (NYSE:WCC), Cooper (NYSE:CBE), SPX (NYSE:SPW), Illinois Tool (NYSE:ITW), 3M (NYSE:MMM), and Tyco (NYSE:TYC) and remain on the sidelines for now," said FBR.

Flextronics (Nasdaq:FLEX), Molex (Nasdaq:MOLX), Tyco (NYSE:TEL) Most Exposed to Consumers
With a weak consumer market, in the EMS & Connector universe of Ticonderoga, they see Flextronics (Nasdaq:FLEX)(Sell)(40% of 3QCY10 sales), Molex (Nasdaq:MOLX)(Neutral)(50%) and Tyco Electronics (NYSE:TEL) as the most exposed to the segment.
They said about Dell, (Nasdaq:DELL) "A Weak Consumer, But Dell Still Hopeful on the Enterprise. Dell highlighted weakness in the consumer market (19% of 3Q sales), yet remains optimistic on the enterprise PC refresh cycle. Dell also highlighted weakness in the public sector in Europe. For product categories in 3QFY11, mobility (or notebook; 32% of sales) revenue rose 3% sequentially, desktop PC (24%) revenue fell by 6%, servers & networking (12%) dropped 2% and storage (4%) fell by 13%."
Flextronics closed Friday at $7.10, dropping $0.02, or 0.28 percent. Moex Inc. was at $20.69, falling $0.16, or 0.77 percent. Tyco ended the Friday session at $31.97, gaining $0.29, or 0.92 percent. Dell was at $13.90, rising by $0.23, or 1.68 percent.
