Pride International (NYSE:PDE) Soars on Ensco (NYSE:ESV) Acquisition
On the announcement that Ensco (NYSE:ESV) was going to acquire Pride International (NYSE:PDE) for $7.3 billion, shares of Pride surged by over 16 percent on the news, although Ensco pulled back.
Once the deal is completed the new company will be the second-largest off-shore drilling company in the world, valued at over $16 billion. The combined company will include 74 rigs.
Ensco Chief Executive Officer Dan Rabun said in a statement, "The combination is an ideal strategic fit, as our rig types, markets, customers and expertise complement each other with minimal overlap."
The offer by Ensco values Pride International at $41.60, a premium of 21 percent over its Friday close.
Terms of the deal will be cash and shares, whereby shareholders in Pride will receive 0.4778 newly issued shares of Ensco, plus $15.60 in cash for each share of Pride common stock.
Ensco shareholders will have a stake of about 62 percent in the combined company and Pride shareholders close to 38 percent. The deal could close in the second quarter.
The company will be named Ensco after the deal is closed.
Pride was trading at $39.87, gaining $5.48, or 15.93 percent, as of 11:28 AM EST. Ensco was trading at $52.00, down 2.41, or 4.43 percent.

Hercules (Nasdaq:HERO), Seahawk (Nasdaq:HAWK), ENSCO (NYSE:ESV), Rowan (NYSE:RDC) and Noble (NYSE:NE) all have a "Neutral" rating on them from, Global Hunter Securities, which also lowered the EPS estimates on all five of the companies.
Global says, "The supply/demand balance in the US Gulf jackup market may have come into question last week with the influx of five Noble Corp (NE) jackups for temporary stacking for cost savings purposes. We understand these rigs to be awaiting opportunity back in Mexico and are not immediately part of the marketed supply. However, we are reluctant to accept that all five rigs will return to Mexico under contract with PEMEX near-term, particularly given the NOC's desire to high-grade its rig fleet (despite the slowness of that process). While the potential to add rigs to the US market had existed with the notion of PEMEX upgrading its jackup fleet, we assumed PEMEX's tardiness to act suggests the US Gulf permitting process could be closer to normalization and rig demand potentially improving, similar to pre-Macondo levels..."
For Hercules Offshore (HERO) FY12 EPS lowered from -$0.34 to -$0.42 and PT cut from $3.40 to $3.10.
For Seahawk Drilling (HAWK) FY11 EPS lowered from -$3.81 to -$3.90 and FY12 from -$3.31 to -$4.25. PT lowered from $10 to $8.50.
For ENSCO International (ESV) FY11 EPS lowered from $4.39 to $3.97 and FY12 from $5.49 to $5.43. PT increased from $47 to $55.
For Rowan (RDC) FY11 EPS lowered from $2.30 to $2.20 and FY12 from $3.69 to $3.62. PT increased from $32 to $36.
For Noble (NE) FY11 EPS lowered from $3.25 to $2.07 and FY12 from $4.95 to $4.33. PT increased from $37 to $40.
"Our price targets fluctuate as a result of our estimate changes, but are higher for ESV, RDC and NE as we roll into 2012 estimates for our valuation (more detail in company-specific section below). We have a Neutral outlook for the group, and we are maintaining our Neutral ratings on each of the five stocks mentioned in this report."

ENSCO International (NYSE:ESV) EPS Estimates Lowered on Fleet Report
ENSCO International (NYSE:ESV) had their EPS estimates lowered by FBR for full year 2010 and 2011, based on their recently released fleet status report.
FBR says, "We are revising our estimates for ESV based on new information contained in the company's January 2011 fleet status report. Although our estimates came down slightly for 2011 due to previously unscheduled maintenance and mobilization time, they do not depart from our thesis...Estimates for FY 2010 change to $3.54 from $3.55, and for FY 2011, they change to $4.25 from $4.37. FY 2012 increased by $0.01 to $5.36 from $5.35."
FBR Capital reiterates an "Outperform" rating on ENSCO International Plc (ESV), which closed Wednesday at $52.61, losing $1.26, or 2.34 percent. FBR raised their price target on ENSCO from $59 to $70.

FBR on Hercules Offshore (NASDAQ:HERO), ENSCO (NYSE:ESV)
FBR adjusted their estimates for Hercules Offshore (NASDAQ:HERO) and ENSCO International Plc (NYSE:ESV) based on new contracts and/or changing fleet status.
On Hercules they said, "We are adjusting our estimates to account for recent announcements in Hercules Offshore's December fleet status report and revising our price target downward to $3.00 from $3.50...Q4 EPS estimate cut from $0.13 to $0.12, FY10 from $0.64 to $0.63, FY11 from $0.63 to $0.65 and FY12 from $0.75 to $0.80."

ENSCO International (NYSE:ESV) EPS Leverage Strong on Jackup Rig Pricing
FBR Capital likes what they see in the pricing power of ENSCO International (NYSE:ESV) in relationship to jackup rig rates, which they see driving up EPS going forward.
FBR said, "We are adding Ensco plc to the FBR Top Picks list based on its strong EPS leverage to rising jackup rig rates. We expect rates for mid-tier jackups to start to narrow the gap with higher-end rigs, driving EPS upside for ESV. Ensco is also very well positioned to benefit markedly from what we see as a firming of the day rates environment on ultra-deepwater semisubmersible rigs."
